Head of Legal/ Corporate Lawyer


ROLE PURPOSE


EXPERIENCE OF WORKING ON TADAWUL LISTED BUSINESS IS MUST


To oversee and manage the legal activities for and on behalf of (Client), and to provide guidance and counsel on a broad range of legal matters including regulatory compliance, employment law, contracts, and litigation and to ensure (Client) business interests are protected. To represent (Client) on legal issues and disputes and provide advice on the legal aspects of risks faced by (Client); and to facilitate the effective functioning of the (Client) Board and sub-committees.


ROLES & RESPONSIBILITIES


Strategic
1. Ensure alignment of the Legal sections strategy and plans in shaping and implementing (Client) Strategic Relations and Internal Controls strategy
2. Lead the development and implementation of the Legal sections plan, policies, procedures, and processes
3. Monitor performance of the Legal section against KPIs and objectives on a regular basis. Recommend improvements and efficiencies in line with (Client) corporate priorities
4. Develop and monitor the annual Legal sections budget in alignment with the overall Strategic Relations and Internal Controls budget and with the Finance function
Operational
5. Lead all legal activities in coordination with changing business needs and (Client) strategic direction
6. Remain up to date regarding latest laws, rules and regulations that might pose a risk on (Client) and interpret the impact and implications of legislation on (Client)
7. Produce regular and ad hoc reports and analysis on legal matters, activities and programmes, and communicate them to Executive Management
8. Develop and implement a compliance reporting system (in coordination with Internal Audit) that identifies areas of legal non-compliance and reports them to (Client) Board and Executive Management
9. Provide guidance and direction to (Client) executive leadership to assure proper understanding, interpretation and application of contractual obligations and compliance with applicable laws and regulations
10. Coordinate with Internal Audit to provide advice and support to functions, and ensure all activities are conducted properly, in compliance with laws and regulations, and to reduce the threats and risks on (Client)
11. Raise staff awareness about laws and regulations that influence the day-to-day operation of (Client)
12. Monitor the development of all legal and contractual documents to ensure that they are effectively drafted, reviewed, interpreted, and examined
13. Participate in the legal aspects of contract negotiations and coordinate with the appropriate functions whenever required
14. Provide advice related to legal systems and regulations in the KSA as well as other jurisdictions whenever required
15. Provide analysis as well as avoidance and mitigation strategies on activities and projects with significant financial, legal and reputational exposure to (Client)
16. Identify, assess, and prioritize legal risks while devising risk management and risk mitigation plans to prevent and/ or react effectively to these risks
17. Oversee and execute all litigation cases between (Client) and courts in the Kingdom of Saudi Arabia
18. Handle disputes and cases filed on behalf of or against (Client), and the representation of (Client) in court
19. As and when applicable, oversee the management of services, deliverable's and relationships with external law firms to ensure cost effective and appropriate advice is provided to (Client) during litigation's or any other general law issues
20. Represent (Client) and liaise with all relevant government and legal entities as and when required
21. Reduce or eliminate the likelihood of the imposition of sanctions, fines and other penalties against (Client) by relevant government agencies and others
22. Attend major legal events at the local, national, regional and international levels in order to learn about new laws, regulations, trends and practices in the legal field and capitalize on the best way to apply them to (Client) in line with the institution and function’s priorities
23. Monitor and facilitate the actions taken by the Board of Directors, including planning board meetings, and recording meeting minutes
24. Ensure accurate and necessary documentation is always available and meets legal requirements whenever requested by the Board of Directors
People Management
25. Provide professional development support/coaching and perform periodic performance reviews for direct subordinates based on (Client) Performance Management System
26. Develop and implement workforce plans and succession plans for key positions in the Legal section
Recommend training needs for subordinates and evaluate the outcomes of training courses.


JOB REQUIREMENTS
QUALIFICATIONS
Minimum Education Required
• Bachelor's degree in Law is essential
• Qualification for practice of legal profession in KSA is required
Professional Certifications Required
• Must be a Licensed Lawyer by KSA Ministry of Justice
• Membership of Saudi Bar Association is preferred


EXPERIENCE
Years of experience
• Minimum of 10 years of work experience in Legal Affairs with at least 3 years of experience in a managerial role


M&A Experience.
